Idea Submission Contest Terms and Conditions

IDEA SUBMISSION CONTEST TERMS:

To date, we have awarded 1200 submission prizes, totaling over $500,000.

The person below (the "Submitter") desires to submit a t-shirt idea (the "Material") to T-Shirt Hell, Inc. (the "Company") to evaluate and review. The parties understand and acknowledge as follows:

  1. Research and Development: The Company is continuously engaged in active research and development programs which may have ideas, functions, features, or other aspects that are similar or identical to the ideas, functions, features, or other aspects of the Material.
  2. Other Submissions: Other persons, including the Company's own employees, may have submitted to the Company or to others, or may in the future originate and submit, material which is similar or identical to the Material. It is agreed that no compensation will be paid to the Submitter for use of the Material because of the Company's use of such other similar or identical material not created by the Submitter.
  3. No Obligation: Submitter agrees that the Company assumes no obligation to (i) return the Material submitted, (ii) compensate the Submitter in any way for the non-commercial use of the Material in accordance with the EVALUATION specified herein, (iii) proceed with negotiations of any kind respecting the Material, or (iv) furnish Submitter with any information respecting the results of the Company's evaluation or its reasons for not proceeding further.
  4. No Confidentiality: The Company is not interested in gaining access to information that is considered confidential. The Company has a policy of not reviewing or evaluating any information claimed to be confidential by an outside party.
  5. No Use Without Agreement: The Company agrees that it will not use the Material for any purpose other than evaluation unless a formal written agreement is made with Submitter.
  6. Copies of Material: Submitter has retained at least one copy of the Material and releases the Company from any liability for loss or damage of the submitted copy.
  7. Originality and Ownership: Submitter represents that the material is original, owned by Submitter, and that Submitter has exclusive rights to submit it to the Company.
  8. No Promotional Use: Submitter agrees not to disclose the Company’s interest in the Material for any promotional activities or to any third party.
  9. No Pre-existing Agreements: Submitter acknowledges there are no prior agreements between the parties related to the Material, and that no obligations exist unless a formal written agreement is made.
  10. No Obligation for Business Relationship: Nothing in this Agreement creates an obligation or expectation for either party to enter into a business relationship with the other.
  11. Control of Material: The terms of this document control the rights and obligations related to the Material, regardless of how it is disclosed, and may only be amended by a signed written document.
  12. No Oral Representations: Submitter agrees that no oral representations have been made by the Company regarding the Material.
  13. Entire Agreement: This Agreement sets forth the entire understanding of the parties regarding the Material. The formation, interpretation, and performance of this Agreement shall be governed by the laws of the State of Nevada, and any legal action must be brought in Carson City, Nevada.
  14. Submitter's Understanding: Submitter certifies that they have read and understand this Agreement, and that the Company is relying on this Agreement to accept the submission.
